Bylaws of the Arcadia Neighborhood Association
- NAME. The name of this organization is Arcadia Neighborhood Association.
- PURPOSE. The purpose for which the organization is formed is to improve the quality of life in the Arcadia Neighborhood by providing opportunities for communication on matters related to the welfare of the neighborhood and promoting programs to enhance the physical, social, and economic environment of the neighborhood.
- MEMBERSHIP. Anyone supporting the purpose of the organization may become a member by applying for membership.
- GENERAL MEETINGS. The organization shall hold an Annual Meeting each October at which the following business shall be transacted:
- Adoption or amendments of Bylaws;
- Election of Board members;
- Acceptance of Treasurer’s report;
Special meetings may be called by the Board by petition by any 10 members. Notification of meetings shall be delivered individually to each member’s address 14 days in advance, or as early as possible in the case of an emergency meeting. Non-members also shall receive adequate, although not necessarily individual, notice. All items under consideration at Annual or special meetings shall be decided by majority vote of those members present and voting.
- BOARD. There shall be 11* members elected to the Board. The term of office is one year; there is no limit on re-election in successive years. Board meetings are open to all members. All decisions of the Board shall be by majority vote of Board members present and voting. The Board shall meet at least quarterly and shall:
- Elect officers from among its members, officers to include President, Secretary, Treasurer, and such others as are desired;
- Conduct the business of the organization;
- Collect money to defray costs;
- Maintain the financial records of the organization;
- Organize the Annual and any special meetings and notify members and non-members thereof;
- Establish committees as needed;
- Remove, at its discretion, any Board member missing 3 or more successive meetings from Board membership;
- Fill any vacancies on the Board by appointment from among the members of the organization;
The President, or the President’s designee, is the only person authorized to speak for the organization. The content of any position statement must be approved by a majority of the Board before it is issued.
- AMENDMENT OF BYLAWS. Bylaws may be amended at an Annual or special meeting. Amendments may be proposed by the Board or by any member. The wording of any proposed amendments shall be included in the notice of the meeting. Adoption of Bylaws amendments is by majority vote of those members present and voting.
- NEIGHBORHOOD WATCH.** The coordinator of the Arcadia Neighborhood Watch (NW) team will be appointed or dismissed by approval of a majority of the Arcadia Neighborhood Association (ANA) Board of Directors. There is no set term for this appointment, which may be ended by either party at any time. The NW Coordinator shall keep the Board informed of NW activities and communications. The Board continues to serve as the representative voice of the ANA and reserves the authority to set policy for the NW team.
